Welcome to Rooted Advisors Limited. By purchasing services from us, you agree to be bound by these Terms and Conditions of Sale, as well as any other terms, conditions, policies, or disclaimers found on our website or discussed during our engagement process. Payment and Invoicing
All invoices issued by Rooted Advisors Limited will be in Canadian Dollars (CAD) unless explicitly noted otherwise on the invoice. Payment terms are net 21 working days from the invoice date unless otherwise specified on the invoice or the order confirmation. Payments should be made according to the instructions provided on the invoice.
Late Payment
In the event of late payment, Rooted Advisors Limited reserves the right to charge a late payment interest at the rate of 10% per annum on the outstanding amount. Further, we may suspend the provision of services until full payment is received. Accounts outstanding for more than 60 days past the due date may be referred to a debt collection service, with all associated legal fees and costs to be borne by the client.
Taxes and Withholding
Clients are responsible for any withholding tax imposed by their country's legislation. Such taxes must be remitted to the appropriate tax authority by the client. Rooted Advisors Limited must receive the full invoice amount without deduction for withholding tax or any other fees related to the legislation of the client’s country.
Service Delivery
Rooted Advisors Limited is committed to delivering high-quality services within the agreed-upon timelines. However, our obligations are efforts-based and not guaranteed outcomes. We shall not be liable to appear as a third party in any claims or damages brought against the client by end consumers.
Claims
Any claim regarding the delivery of goods or provision of services must be made in writing and sent by recorded delivery to Rooted Advisors Limited’s registered office within eight days following the delivery or service provision date. Claims submitted beyond this period may not be honored.
Jurisdiction and Governing Law
The contractual relationship between Rooted Advisors Limited and its clients shall be governed by the laws of British Columbia, Canada. Any disputes arising out of or related to our services shall be resolved under the jurisdiction of British Columbia courts.
Additional Engagement Contracts
Some clients may have separate engagement contracts for services with Rooted Advisors Limited. In such cases, the terms of the specific project agreement will supplement but not supersede these Terms of Sale. Where there is a conflict, the written project agreement terms shall prevail.
